Project Agreements

Quotes and Proposals

All quotes and proposals are valid for 30 days from the date of issue unless otherwise stated. Prices are quoted in GBP and exclude VAT unless explicitly stated. We reserve the right to adjust quotes if project requirements change significantly.

Project Scope

Each project will be defined by a written proposal or statement of work. Changes to the agreed scope may require additional time and cost, which will be discussed and agreed upon before implementation.

Payment Terms

Payment terms are specified in individual project agreements. Typically:

  • A deposit is required before work begins
  • Milestone payments may apply to larger projects
  • Final balance is due upon project completion

Intellectual Property

Your Content

You retain ownership of all content, materials, and intellectual property you provide to us for use in your project. You warrant that you have the right to use all materials provided.

Deliverables

Upon full payment, you receive ownership of the custom code and designs created specifically for your project. We retain the right to use general techniques, knowledge, and non-proprietary code developed during the project.

Third-Party Components

Your project may include third-party software, libraries, or services (e.g., open-source frameworks, fonts, hosting platforms). These remain subject to their respective licences and terms.

Client Responsibilities

To ensure project success, you agree to:

  • Provide content, materials, and feedback in a timely manner
  • Designate a primary point of contact for decision-making
  • Review and approve work at agreed milestones
  • Pay invoices according to agreed terms

Warranties and Liability

Our Warranty

We warrant that our work will be performed with reasonable skill and care. For development projects, we provide a warranty period (typically 30 days after launch) to fix bugs in our code at no additional cost.

Limitation of Liability

To the maximum extent permitted by law, our liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project in question. We are not liable for indirect, incidental, or consequential damages.

Termination

Either party may terminate a project with written notice. Upon termination:

  • You will pay for all work completed up to the termination date
  • We will provide all completed work and materials
  • Deposits are non-refundable but will be applied to work completed
